Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by SameWave ("we," "us," or "our") through samewave.ai. By subscribing to our services or accessing our website, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree with any part of these Terms, do not use our services.

1. Service Description

SameWave provides AI-driven marketing services for service businesses, delivered under the brand name "AI CMO." Our services include, but are not limited to:

• Website rebuild and ongoing optimization
• Search engine optimization (SEO) management and opportunity scanning
• Blog and content creation and publishing
• Marketing analysis and performance reporting
• Competitor research and market intelligence
• Strategy sessions with a senior advisor (on applicable plans)

The specific services included in your subscription depend on the plan you select at sign-up. SameWave reserves the right to modify, add, or remove service features with reasonable notice to active subscribers.

2. Subscription Plans and Pricing

SameWave offers the following subscription tiers:

All prices are in Canadian dollars (CAD) unless otherwise specified in your subscription agreement. Prices are subject to change with 30 days' written notice to active subscribers.

3. Billing

Subscriptions are billed on a monthly basis, on or around the same date each month from the date your subscription began. Payment is due in advance of the service period.

You authorize SameWave to charge your designated payment method on the recurring billing date. If a payment fails, we will notify you and attempt to collect payment. Failure to resolve a failed payment within 7 days may result in suspension of your service.

All subscriptions are month-to-month. There are no long-term contracts or commitments required.

4. Cancellation Policy

You may cancel your subscription at any time by providing written notice via our contact form at samewave.ai/contact. Cancellations take effect at the end of the current billing period. You will not be charged for any subsequent billing periods after cancellation is confirmed.

We do not offer refunds for the current billing period upon cancellation. If you cancel partway through a billing period, you retain access to services until the end of that period.

5. Acceptable Use

By using our services, you agree not to:

• Use our services for any unlawful purpose or in violation of applicable laws or regulations
• Use our services to promote illegal products, services, or activities
• Attempt to reverse-engineer, copy, or resell our systems, methodologies, or AI infrastructure
• Provide false or misleading information about your business in your subscription application
• Use our services to harm, defame, or harass any individual or organization
• Interfere with or disrupt the operation of our website or services

SameWave reserves the right to terminate your subscription immediately if you are found to be in violation of this acceptable use policy, without refund.

6. Intellectual Property

All content, systems, methodologies, software, and AI infrastructure used to deliver SameWave services are the intellectual property of SameWave and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the outputs of our services (such as blog content, website copy, and reports) for your business purposes.

You retain ownership of your own business data, brand assets, and pre-existing intellectual property provided to us for use in delivering services. By providing us with your materials, you grant SameWave a limited license to use them solely for the purpose of delivering the agreed services.

7. Limitation of Liability

SameWave provides services on an "as is" and "as available" basis. We do not guarantee specific marketing results, revenue outcomes, or ranking improvements. Marketing results depend on many factors outside of our control, including market conditions, competition, and the quality of your product or service.

To the maximum extent permitted by applicable law, SameWave's total liability to you for any claims arising from or related to our services shall not exceed the amount you paid in the 3 months immediately preceding the claim.

SameWave shall not be liable for indirect, incidental, consequential, punitive, or special damages, including lost profits or revenue, even if we have been advised of the possibility of such damages.

8. Disclaimer of Warranties

SameWave makes no representations or warranties of any kind, express or implied, with respect to our services or their fitness for a particular purpose. We do not warrant that our services will be uninterrupted, error-free, or free of harmful components.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active subscribers with at least 14 days' notice before taking effect. Continued use of our services after the effective date of updated Terms constitutes your acceptance of the changes.
